Blackwater Capital Announces Change of Auditor

Blackwater Capital Corp. (the "Corporation") (TSX VENTURE:BCC.P) reports that it
has been advised by RSM Richter LLP ("RSM"), the auditor of the Corporation,
that RSM is no longer providing audit services from its Calgary office and,
accordingly resigned of its own initiative, effective as of May 19, 2009. The
Corporation is happy to maintain its relationship with Howard Shikaze FCA, as he
moves to Meyers Norris Penny LLP ("MNP"), and is pleased to announce that it has
appointed Meyers Norris Penny LLP as the successor auditor.


The resignation of RSM and the appointment of MNP as the successor auditor have
been approved by the Audit Committee and the Board of Directors of the
Corporation.


In accordance with all regulatory requirements, the Corporation has filed a
Notice of Change of Auditor and has received a response letter from MNP,
confirming their agreement with the information in the Notice. The Corporation
has also received a response letter from RSM, confirming their agreement with
