MPVC Inc. Announces Closing of Non-Brokered Private Placement

MPVC Inc. ("MPVC" or the "Company") (TSX VENTURE:OCI) is pleased to announce
that it has closed a non-brokered private placement (the "Placement") with
Graham Kemp, a director of the Company to raise proceeds of $125,000. The
Placement resulted in the issuance of 1,250,000 common shares ("Common Shares")
to Mr. Kemp at a price of $0.10 per Common Share, being above the current market
price for the Common Shares. Prior to the placement, Mr. Kemp, a Control Person
of the Company, owned 2,847,327 Common Shares (being approximately 20.1% of the
issued and outstanding Common Shares) and following the Placement owns 4,097,327
Common Shares (being approximately 26.6% of the issued and outstanding Common
Shares).


The Common Shares are all subject to a four (4) month statutory hold commencing
from the date of issuance. The Placement is subject to TSX Venture Exchange
final acceptance of requisite regulatory filings.


All proceeds from the Placement will be used by the Company to fund general
working capital requirements.
