NOT FOR DISTRIBUTION IN THE UNITED STATES OR OVER UNITED STATES WIRE SERVICES Northern Graphite Corporation (TSX VENTURE:NGC)(OTCQX:NGPHF) announces a clarification of the finder's fees paid in connection with its private placement that closed on March 15, 2012 for gross proceeds of $10.55 million. In connection with the private placement, and in accordance with the policies of the TSX Venture Exchange, the Company paid total finder's fees of C$121,517 and issued a total of 71,480 finder's warrants, each exercisable to acquire one common share of the Company at a price of C$2.00 per share for a period of one year. The finder's warrants are subject to the final approval of the TSX Venture Exchange and are subject to a four month hold period expiring July 16, 2012.
