As a result of the private placement completed by the Company on July 27, 2020, Mr. Peck's ownership share of the Company was reduced from 13.2% to below 10% of the issued and outstanding voting securities of the Company on a non–diluted basis. Mr. Peck holds the shares for investment purposes only. Mr. Peck intends to review his holdings on a continuing basis and such holdings may be increased or decreased in the future.
