Blackwater Capital Announces Closing of Initial Public Offering and Final Listing Approval

Blackwater Capital Corp. (the "Corporation") (TSX VENTURE:BCC.P) announces it
has completed its initial public offering ("Offering") raising gross proceeds of
$360,000, pursuant to a Prospectus dated June 24, 2008. A total of 1,800,000
common shares of the Corporation were subscribed for at a price of $0.20 per
Common Share.  Haywood Securities Inc. ("Haywood") acted as the agent for the
Offering, which was fully subscribed.


The Corporation now has 3,200,000 Common Shares outstanding, with the directors
and officers of the Corporation, in aggregate, holding 1,200,000 Common Shares. 

 
The Common Shares of the Corporation received final listing approval from the
TSX Venture Exchange ("TSX-V") and will commence trading as of the date of this
release under the stock symbol BCC.P as a Capital Pool Company.


Haywood received a cash commission equal to 10% of the gross proceeds, and an
option to purchase 180,000 Common Shares of the Corporation for a period of 24
months from the date the shares commence trading on the TSX-V.
