(1)	Shares withheld by the Company to satisfy tax withholding obligations upon vesting of restricted shares; not an open market transaction.
(2)	Restricted Stock Unit ("RSU") granted under the NIKE, Inc. Stock Incentive Plan. All of the unvested RSUs became vested with respect to the total number of RSUs on the fifth anniversary of the Grant Date, which was subject to Mr. Parker's continued employment with the Company through such date.
