MATALAN PLC



                                  ANNOUNCEMENT





Mr. John King, Chief Executive and Mr. Phil Dutton, Group Finance Director were
granted options on 13th May 2003 to acquire by transfer 250,000 and 100,000
Matalan PLC ordinary shares respectively.


All the above shares are existing shares that will be delivered from Matalan's
Employee Benefit Trust. There will be no dilution to existing shareholders. The
options are at nil cost and have been granted under Matalan's Key Management
Option Scheme.


The exercise of these options is dependent upon targets based on growth in base
line EPS and will occur in tranches between 2006 and 2008.
