On 22nd April 2003 Matalan received notification pursuant to section 324 of the
Companies Act 1985 from Charles Thompson (Non Executive Director) that he had
disposed of 350,000 ordinary shares of 10p each in Matalan (representing 0.001%
of the issued share capital) on 17th April 2003 at a price of 174.5p per share.


His total beneficial holding is now 500,000 ordinary shares in Matalan
representing 0.119% of the issued share capital.
