(2)	The phantom stock units were accrued under Issuer's Excess Retirement Savings Plan (the "Plan"). Phantom stock units are to be settled in cash upon the reporting person's retirement or other events. Prior to cash settlement, the reporting person has the right to transfer phantom stock units into alternative investment accounts in the Plan.
(3)	Includes 0.02 phantom stock units acquired through dividend reinvestment in the Plan for the quarter ended 6/30/2020.
