Explanation of Responses:
(1)	Each restricted stock unit ("RSU") represents the contingent right to receive, upon vesting of the RSU, one share of Innovativte Industrial Properties, Inc. common stock.
(2)	All of the RSUs shall be released from the forfeiture restriction on June 2, 2021, provided that the reporting person continues to be a non-employee director or employee of Innovative Industrial Properties, Inc. on such date.

Remarks: Note: This Form 4/A is to correct the Form 4 filed with the Securities and Exchange Commission on June 2, 2020 (the "Original Form 4"). 911 shares of Innovative Industrial Properties, Inc. restricted common stock granted on June 2, 2020 to the reporting person as reported in the Original Form 4 were voided effective as of June 2, 2020, and 911 RSUs of Innovative Industrial Properties, Inc., as reported in this Form 4/A, were granted to the reporting person on June 2, 2020. There were no other changes to the Original Form 4.
