Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 10, 2017, Adm. Paul D. Miller informed Huntington Ingalls Industries, Inc. (the “Company”) of his decision to retire from the Company’s Board of Directors as of May 3, 2017. Adm. Miller’s decision to retire did not result from any disagreement with the Company on any matter.
