Other Events.

On January 17, 2019, HCA Healthcare, Inc. (the “Company”) issued a press release (the “Press Release”) announcing the commencement of its proposed public offering of $1,000,000,000 aggregate principal amount of senior unsecured notes (the “Offering”). The text of the Press Release is set forth as Exhibit 99.1 and is incorporated herein by reference. In connection with the Offering, the Company is disclosing certain information, some of which was included in the Company’s Annual Report on Form 10-K for the fiscal year ended December 31, 2017 (the “Disclosure”).
