Remarks	In accordance with the interpretive letter from the SEC to Bank of America Merrill Lynch dated December 11, 2011, Steven Nielsen entered into a Share Collar Transaction (the "Transaction") with an unaffiliated dealer, pursuant to which Mr. Nielsen wrote European call options and purchased European put options relating to 465,307 shares of common stock of the Issuer and pledged the underlying shares to the dealer. This Form 144 filing relates to hedging activity in connection with the Transaction which will be conducted by the broker named above. The Transaction relates to an aggregate of 465,307 shares of common stock of the Issuer and is reported in two Form 144 filings due to EDGAR filing limitations.
