Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year

On November 30, 2016, Board of Directors of The Walt Disney Company (the “Company”) amended and restated the Company’s Amended and Restated Bylaws (as so amended and restated, the “Bylaws”) to change the maximum number of nominees that can be included in the Company’s proxy statement pursuant to the proxy access provisions set forth in Section 11 in Article II of the Bylaws from 20% of the Board to the greater of two and 20% of the Board.

The foregoing description is qualified in its entirety by reference to the full text of the Bylaws, a copy of which is attached hereto as Exhibit 3.2 and is incorporated herein by reference.
