Represents the vesting and share settlement of a performance share award approved by the Issuer on March 13, 2017. Performance for this award was measured based on the Issuer's total shareholder return (TSR) compared to the TSR of the companies within the S&P 500 Index, over the 36-month period commencing on January 29, 2017, and ending on February 1, 2020. The performance results and number of shares earned based on the results were approved by the Compensation and Human Resources Committee of the Board of Directors on May 20, 2020.
