Item 8.01.

Other Events.

On May 18, 2023, Take-Two Interactive Software, Inc. (the “Company”) announced that it has commenced a tender offer to purchase for cash up to $500 million aggregate principal amount of the Company’s 3.300% Senior Notes due 2024. The tender offer is being conducted on the terms and conditions set forth in the offer to purchase dated May 18, 2023. A copy of the press release announcing the tender offer is attached hereto as Exhibit 99.1 and is incorporated in this Item 8.01 by reference.
