Explanation of Responses:
(1)	Restricted stock units convert into common stock on a one-for-one basis. The reporting person received a restricted stock unit award which vests as to 33% on March 27, 2021, 33% on March 27, 2022, and 34% on March 27, 2023, subject to the reporting person's continued employment or association with the issuer through such date.
(2)	These options shall vest as to 25% on each of March 27, 2021, March 27, 2022, March 27, 2023, and March 27, 2024, subject to the reporting person's continued employment or association with the issuer through each such date.
