Amendments to Bylaws

On April   8 ,   2016 , the Board of Directors of Interactive Brokers Group, Inc. (the “Company”) approved an amendment to the Company’s Bylaws, effective the same date, to remove Section 10 “Attorneys’ Fees in Stockholder Actions , ” under Article VIII. 



A copy of the Company’s Bylaws, as amended, is filed herewith as Exhibit 3.1 and is incorporated by reference.
