SEC Registration Statement To Register The Shares Sold In FARO's November 12,
2003 Private Placement Declared Effective 


LAKE MARY, Fla., Dec. 22  /PRNewswire-FirstCall/ -- FARO Technologies, Inc. 
today announced that its Form S-3 registration statement ("S- 3") relating to
the resale by certain shareholders of 1,930,000 shares of FARO common stock has
been declared effective by the Securities and Exchange Commission.  FARO and its
founders originally sold the 1,930,000 shares of FARO common stock covered by
the S-3 in a private placement that was announced on November 12, 2002, pursuant
to an exemption from the registration requirements of the Securities Act of
1933.  The placement agent for the private placement was Robert W. Baird & Co.

Under the terms of the private placement, FARO agreed to file the S-3 with the
SEC to register the resale of the shares purchased by the investors in the
private placement.  FARO will not receive any proceeds from the resale of these
shares.  Now that the S-3 has been declared effective by the SEC, the investors
in the private placement may resell these shares from time to time in one or
more transactions on the Nasdaq National Market or pursuant to any method
described in the S-3 or any other method permitted by applicable law.
