Explanation of Responses:
(1)	Shares were transferred from direct ownership to ownership under the Mark G. and Mary E. Foletta, TTEE's for the Foletta Family Trust DTD 1/30/15, upon vesting of previously awarded restricted stock units.
(2)	Shares are held by the Mark G. and Mary E. Foletta, TTEE's for the Foletta Family Trust DTD 1/30/15, with respect to which the reporting person is a trustee.
(3)	The RSU Award was granted on May 31, 2019 and 100% of the RSU will vest on the earlier of the one year anniversary of the grant date or the date of DexCom Inc's 2020 Annual Meeting. Each share is represented by a restricted stock unit (RSU) that represents a contingent right to receive one share of DexCom, Inc. Common Stock upon settlement.
(4)	Represents 3,055 restricted stock units which were granted on May 31, 2019 and will vest on the earlier of the one year anniversary of the grant date or the date of DexCom Inc's 2020 Annual Meeting.
