Item 8.01 – Other Events.

On January 13, 2021, DocuSign, Inc. (the “Company”) issued a press release announcing the pricing of its offering of $600.0 million aggregate principal amount of 0% convertible senior notes due 2024 in a private placement (the “Notes”). The Company also granted the initial purchasers of the Notes an option to purchase, during a 13-day period beginning on, and including, the first date on which the Notes are issued, up to an additional $90.0 million aggregate principal amount of Notes.

The Notes will be sold to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended.

A copy of the press release announcing the pricing of the offering of the Notes is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
