State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

 

Brooke Corporation's ("BXXX's") financial results are in large part the result of the consolidation of the financial results of its two publicly-traded subsidiaries, Brooke Capital Corporation ("BCP") and Aleritas Capital Corp. ("BRCR"). While BXXX is an accelerated filer under Rule 12b-2 of the Exchange Act, neither BCP nor BRCR are subject to this requirement. On July 18, 2008, BCP signed a definitive agreement for the sale of all of the capital stock of BCP's subsidiary, First Life America Corporation ("FLAC"). BCP has notified BXXX that this event will require the presentation of FLAC's financial results as discontinued operations in BCP's upcoming Report on Form 10-Q. BCP has also notified BXXX that this changed presentation will delay BCP's production of financial results for consolidation into BXXX's upcoming Report on Form 10-Q.

BCP has notified BXXX that BCP will be presenting FLAC's financial results as discontinued operations in BCP's upcoming Report on Form 10-Q and that BCP will also be taking reserves with respect certain assets in that same Report. No estimate of the effects of these actions on BXXX's financial results will be available until after the prescribed due date for BXXX's upcoming Report on Form 10-Q.
