EXPLANATORY NOTE

 

This Post-Effective Amendment relates to the following registration statement (“Registration Statement”) filed with the Securities and Exchange Commission on October 29, 2021, by 1895 Bancorp of Wisconsin, Inc., a Maryland corporation (the “Registrant”).

 

Registration Statement on Form S-8, File No. 333-260586, registering 428,912 shares of 1895 Bancorp of Wisconsin, Inc. common stock, par value $0.01 per share, consisting of (i) 417,072 shares to be issued pursuant to the 1895 Bancorp of Wisconsin, Inc. 2020 Equity Incentive Plan, and (ii) 10,527 shares to be issued pursuant to an inducement stock option award agreement and 1,313 shares to be issued pursuant to an inducement restricted stock award agreement.

 

The Registrant intends to terminate and suspend all reporting obligations with the Securities and Exchange Commission under the Securities Exchange Act of 1934, as amended. Accordingly, pursuant to the undertaking contained in the Registration Statement to remove from registration by means of a post-effective amendment any of the securities that remain unsold at the termination of the offering, the Registrant hereby amends the Registration Statement by deregistering all shares that remain unsold under the Registration Statement.
