Explanation of Responses:
(1)	The Reporting Person is entitled to receive one share of Common Stock for each Restricted Stock Unit. These Restricted Stock Units vest as to approximately 1/3 of the total shares on an approximate annual basis over a 3-year period from the date of grant on April 10, 2021.
(2)	The total securities beneficially owned includes 23,096 shares of unvested Restricted Stock Units.
(3)	The shares are held by the BLUM FAM DECL. TR U/A/D 4/20/06 (the "Family Trust"). The reporting person is a trustee of the Family Trust. The reporting person disclaims beneficial ownership of the shares held by the Family Trust except to the extent of his proportionate pecuniary interest therein.
