Explanation of Responses:
(1)	Each restricted stock unit represents a contingent right to receive one share of ACADIA common stock.
(2)	The restricted stock units vest as follows: 37.5% of the shares vest 18 months from the grant date; 12.5% of the shares vest on the second anniversary of the grant date; and 25% of the shares vest on each of the third and fourth anniversaries of the grant date.
(3)	The restricted stock units vest as follows: 37.5% of the shares vest 18 months from the grant date; 12.5% of the shares vest on the second anniversary of the grant date; and 25% of the shares vest on each of the third and fourth anniversaries of the grant date. In addition, these restricted stock units may vest earlier upon the Issuer's common stock achieving a specified price per share over a specified trading period.
