                            Directors' Shareholding


The Company was informed on 6 June 2003 by Peter Morgan, a director of the
Company, that on that day he exercised options over 150,000 Ordinary Shares at a
price of 66p each. These options represent the last of the options awarded to Mr
Morgan under the 1993 Original Share Scheme which were exercisable between
September 1998 and September 2003. Following this transaction, Mr Morgan holds
options over a further 100,000 Ordinary Shares.

In addition, on 6 June 2003, Mr Morgan sold 50,000 Ordinary Shares at 115.5p,
representing 0.14 per cent. of the Company's issued Share Capital. Following
this disposal, Mr Morgan has a beneficial interest in 165,000 Ordinary Shares,
which represents 0.45 per cent. of the Company's issued ordinary share capital.
