        HENDERSON MORLEY - UPDATE ON NEGOTIATIONS WITH CROMA PHARMA GmbH





In the Company's interim results released on 31 January 2003, the Company
announced it expected to complete the signing of a patent licence with Croma
Pharma by the end of February 2003.



Since this announcement, Croma Pharma has requested additional territories from
those originally selected to be covered by the patent licence. This has led to
negotiations taking longer and therefore an extension to the original timetable.



A further update will be made as soon as practicable.
