EXA Announces Special Meeting of Shareholders 


DEERFIELD BEACH, Fla., June 15  /PRNewswire-FirstCall/ -- EXA, Inc. (OTC Pink
Sheets: EXAI) announces a Special Meeting of Shareholders to be held on July
13, 2004, at its offices in Deerfield Beach, Florida.  The Board of Directors
is requesting that the Shareholders approve an increase in authorized common
shares to 100 million shares.  Shareholders of record at the close of business
on June 17, 2004 are entitled to vote.

The Special Meeting has been called by Stanley Priskie, Chairman, to provide
sufficient shares to support the Warrants to be issued on the sale of its
Private Placement Offerings and several potential acquisitions.  Mr. Priskie
said, "EXA has an opportunity to acquire several companies in allied fields to
its Cruiseshares program.  By expanding the concept of Cruiseshares, the
Company is providing an umbrella to incorporate its potential affiliates."
