Keras Resources plc ('Keras' or the 'Company')
Result of General Meeting
Keras Resources plc, the AIM listed mineral resource company, is pleased to announce that, at the General Meeting of the Company held today, all resolutions as set out in the Notice of General Meeting dated 30 December 2020 (the 'Notice'), were passed by shareholders. The resolutions were to renew authorities to issue Ordinary Shares in satisfaction of subscription rights of the Company's existing warrants which expire on 31 August 2021 and 31 December 2021 and to authorise the issue of Ordinary Shares in satisfaction of the subscription rights of those warrants. In accordance with the announcement made on 18 December 2020, that Brian Moritz and Dave Reeves, directors of the Company, had conditionally agreed to subscribe for 36,363,636 (GBP40,000) and 63,636,364 (GBP70,000) new Ordinary Shares respectively (the 'Director Subscription Shares'), at 0.11p per share, subject to the passing of resolutions at the general meeting held today.
Accordingly application will be made for admission of the Director Subscription Shares to trading on the AIM Market of the London Stock Exchange. It is anticipated that the admission will take place on or around 22 January 2021. Following admission of the Director Subscription Shares, there will be 5,366,007,851 Ordinary Shares in issue with each share carrying the right to one vote. There are no shares currently held in treasury.
The total number of voting rights in the Company will therefore be 5,366,007,851 and this figure may be used by shareholders as the denominator for the calculations by which they determine if they are required to notify their interest in, or a change to their interest in, the Company under the Financial Conduct Authority's Disclosure Rules and Transparency Rules.
