                            APPOINTMENT OF DIRECTOR


Virotec International Ltd (ASX/AIM: VTI) is pleased to announce the appointment
of Mr Neil Max Bardach as a non-executive director of Virotec with effect from
15 December 2003.

Mr Bardach is based in New York, USA and has experience at executive and board
level with NYSE and NASDAQ listed entities, particularly in the chemical and
product manufacturing sector. Mr Bardach is 55 years of age and has a Bachelor
of Arts in Accounting from Michigan State University, an MBA from the University
of Utah and is a Certified Public Accountant (CPA").

Mr Bardach served as Chief Financial Officer ("CFO") and Member of the
Management Committee of Minerals Technologies, Inc. (NYSE:MTX) in New York City
from July 1998 to November 2002. MTI is a specialty chemicals company with sales
and manufacturing operations throughout the world, employing 2,200 people
worldwide. As CFO he was primarily responsible for banking relationships,
financial reporting, risk management, treasury, tax, and internal audit. Prior
to this time Mr Bardach was CFO of The Genlyte Group Incorporated (NASDAQ:GLYT)
in New Jersey from 1994 to 1998, a building products manufacturer with
operations in US, Mexico, and Canada.

Virotec's Chairman Mr Brian Sheeran commented, "We are very pleased that Neil
has agreed to join the board. We believe his experience in doing business in
North America and his network of contacts will assist our expansion plans into
this region."

Mr Bardach has no other current directorships and has held no directorships
within the last five years. He currently holds 5,000 ordinary shares in the
Company.
