Resignation of Auditor

Kanabo Group plc (LSE:KNB) the pan-European medical cannabis company that focuses on developing and commercialising cannabis-derived products for medical patients and wellness consumers, announces Jeffreys Henry LLP ('Jeffreys Henry') has resigned as the Company's independent auditor with immediate effect on the grounds that Jeffrey's Henry has taken the decision not to register itself with the Financial Reporting Council as an eligible auditor to undertake Public Interest Entity audits.

In accordance with s. 519 Companies Act 2006, Jeffreys Henry made the following statements:

-- We [ Jeffreys Henry] have resigned as auditor with immediate effect on the grounds that the firm has taken the decision not to register as an auditor eligible to undertake Public Interest Entity audits.

-- There are no circumstances connected with our ceasing to hold office as auditor which we [ Jeffreys Henry ] consider should be brought to the attention of the company's members or creditors.

The process to appoint a new independent auditor for the Company is well advanced and further announcements will be made in due course.
