As explained in my previous post, they should have been compulsorily acquired by now

PEIF III Bidco is pleased to announce that as at 4.00 p.m. (London time) on 30 June 2022, it had received valid acceptances under the Offer in respect of, or had otherwise acquired, a total of 517,837,692 Stagecoach Shares representing approximately 92.15 per cent of the issued share capital of Stagecoach (excluding treasury shares).PEIF III Bidco will exercise its rights in accordance with sections 974 to 991 of the Companies Act to acquire compulsorily the remaining Stagecoach Shares in respect of which the Offer has not been accepted as contemplated by the Offer Document.
Non-assenting Stagecoach Shareholders who do not accept the Offer before it closes at 5.00 p.m. on 5 July 2022 will not receive payment until after the compulsory acquisition process has been implemented (which is expected to take a minimum of six weeks).

It may be an appealing sector but you're never going to benefit from it via SGC as the price is now fixed. Whether you sell now, later, or wait until your shares are forcibly acquired, the price is the same.

As at 4.30 p.m. on 20 May 2022, PEIF III Bidco may count 363,942,816 Stagecoach Shares (representing approximately 65.99 per cent of the issued share capital of Stagecoach (excluding treasury shares)) towards satisfaction of the acceptance condition to its Offer.
The Offer will remain open for acceptance until further notice. At least 14 days' notice will be given by an announcement before the Offer is closed.
Stagecoach Shareholders are reminded that, as stated in the Offer Document, now that the Offer has become unconditional, if PEIF III Bidco has by virtue of its shareholdings and acceptances of the Offer acquired, or agreed to acquire, Stagecoach Shares representing at least 75 per cent. of the voting rights of Stagecoach, PEIF III Bidco intends to procure the making of an application by Stagecoach for cancellation, respectively, of the trading in Stagecoach Shares on the London Stock Exchange's main market for listed securities and of the listing of Stagecoach Shares on the premium listing segment of the Official List.
As anticipated in the Offer Document, as and when PEIF III Bidco has received acceptances under the Offer in respect of, or otherwise acquires, 90 per cent. or more of the Stagecoach Shares to which the Offer relates (as interpreted in accordance with the Companies Act), PEIF III Bidco intends to exercise its rights pursuant to the provisions of Chapter 3 of Part 28 of the Companies Act to acquire compulsorily the remaining Stagecoach Shares in respect of which the Offer has not been accepted.

The deal as it stands is destined for the shredder. Either DWS revise their all share takeover upwards to get it over the line. This would require a revised timetable i.e..: brief extension. The board of SCG stop plans to recommend the all share offer from DWS via Bidco or we wait for the CMA to report their findings into the merger between NEX & SGC. Not look to wait. Would expect shares to drop to 75 85p should there be no revised offer from DWS.

Offer document being posted today. I would not accept this offer as it stands. It's a low ball offer designed for investors who want to get out quick rather than hang about waiting for the CMA to report there findings on the merger between NEX & SCG. More value to be had with merger. Long term investors like myself, seen our share price much higher before the pandemic. We have a chance of recouping those gains plus dividends from the merger. It's a no brainier. The offer document being sent out today will go straight into the recycle bin.

Stagecoach Group plc published a trading statement this morning, outlook with respect to FY22 is unchanged from its last announcement. Passenger demand for regional bus operations has been recovering in recent weeks with the return of schools and universities across the country, with journey numbers in excess of 70% of equivalent 2019 levels by the end of September. Group is now operating vehicle mileage at around 94% of 2019 levels. So recovery is ongoing, but there is still a long way to go to return to pre-Covid levels.

FY22 financials as a whole will not be close to pre-Covid performance. Valuation is reasonably attractive, forward PE ratio of 9.6 is top quartile for Passenger Transportation sector, as is PS ratio at under 0.5. But fuller recovery in top-line revenues and bottom line EPS will likely only come through in FY23 numbers. The share price also lacks momentum and has been trading sideways through 2021. Stagecoach Group is a share to monitor for the time being, although when the Travel sector recovers more meaningfully, there will be scope for some decent upside. Monitor for now....

* NEX is the biggest gainer in the UK mid-cap index and SGC tops the London's small-cap index
* NEX is in talks to acquire rival operator Stagecoach Group in an all-share deal, which would result in cost savings and provide new growth opportunities for the companies ...
* Under the terms of the potential takeover, SGC shareholders would receive 0.36 new NEX shares for each SGC share, giving them a 25% stake in the merged group
* It would value SGC at about 445 mln pounds ($609 mln), representing an 18% premium on the closing price of its shares on Monday
* SGC on track for best day since November 2020
* Liberum is cautious on the merits of the deal; says some disposals would being required to secure Competition and Markets Authority clearance for the deal
