South American Minerals, Inc. Files Form 10-SB With the Security and Exchange Commission for Registration of Its Securities Under The Securities Exchange Act of 1934 NEW YORK and GEORGETOWN, Guyana, Oct. 4 /PRNewswire-FirstCall/ -- South American Minerals, Inc. (OTC:SAMM) announced today that it had filed a registration statement on Form 10-SB with the Securities & Exchange Commission covering the registration of its common stock under the provisions of the Securities Exchange Act of 1934. The Company filed this registration statement to meet the current requirements for quotation on the OTC Bulletin Board. Before the Company's common stock may be quoted on the OTCBB, the Securities and Exchange Commission must review the registration statement and have no further substantive comments, and a broker-dealer must be willing to act as a market maker and file a form 211 with the NASD to initiate quotation of the common stock on the OTCBB. During the registration process, the SEC will review the filing and may have comments requiring the filing of amendments to the registration statement. The Company believes that this process may be finalized in the next several months. The Company will report further developments as they occur.
