Notice of Proposed Settlement of Service Corporation International Class Action Lawsuit HOUSTON, Sept. 20 /PRNewswire/ -- The following Notice is issued pursuant to the Order of the United States District Court for the Southern District of Texas in In re: Service Corporation International, H- 99-280: SCI PROPOSED SETTLEMENT 1. Settlement of a lawsuit in this court may affect your rights. 2. Inclusion. This settlement applies to those who: A. Exchanged shares of common stock in Equity Corporation International, Inc. ("ECI") for shares of common stock in Service Corporation International, Inc. ("SCI"), on the merger of ECI into SCI on January 19, 1999; B. Purchased shares of SCI common stock in the open market from July 17, 1998 through January 26, 1999 ("Class Period"); C. Purchased SCI call options in the open market during the Class Period; D. Sold SCI put options in the open market during the Class Period; or, E. Held employee options to purchase shares under an ECI stock plan that became options to purchase shares of SCI common stock on the merger. 3. Hearing. A hearing is scheduled for: November 4, 2004 at 2:00 p.m. Courtroom 11C, Eleventh Floor United States Courthouse 515 Rusk Avenue Houston, Texas 77002 The purpose of the hearing is to determine whether the Court should (a) certify a class action with the proposed class representatives; (b) approve the proposed settlement of $65,000,000 in cash as being fair, reasonable, and adequate; (c) dismiss the action with prejudice; (d) approve the plan of allocation of the net settlement fund as being fair and reasonable; (e) approve the application of plaintiffs' counsel for an award of attorneys' fees and reimbursement of expenses; and (f) approve reimbursement of plaintiffs' costs and expenses, including lost wages. 4.
