                   CeNeS Pharmaceuticals plc ("the Company")
                            Directors' Shareholding

The Company today announces that the Remuneration Committee has approved to
extend the exercise period for options over 99,660 ordinary shares of #1 each in
the Company's subsidiary CeNeS Limited (the "Options") held by Alan Goodman,
Chairman of the Company and his wife, Eileen Goodman. On exercise the shares
issued in CeNeS Limited will be exchanged into 2,023,864 ordinary shares of 1p
in the Company. These Options with an exercise price of #1 per share, were
granted on 14 January 1997 and were due to expire on 14 January 2004. Following
the approval by the Remuneration Committee, the exercise period of these Options
has been extended to 22 December 2008. The total number of Ordinary Shares over
which options are held by Mr Alan Goodman and his spouse following this
notification (including the above Options) remains unchanged at 4,378,287.
