BankFinancial MHC, Inc. Announces Receipt of Member and
Regulatory Approval to Complete Mutual-to-Stock Conversion and Related Stock
Offering of BankFinancial Corporation
BURR RIDGE, Ill., June 10 /PRNewswire/ -- BankFinancial, F.S.B.
("BankFinancial") announced that it has received approval from its voting
depositors and borrowers for BankFinancial MHC, Inc. to proceed with its
mutual-to-stock conversion and related stock offering of BankFinancial
Corporation, a Maryland corporation (the "Company") that will serve as the
Bank's stock holding company following the completion of the conversion. In
addition, the Company has received approval from the Office of Thrift
Supervision to complete its stock offering at a valuation of $244,662,500,
through the sale of 24,466,250 shares of common stock.
Eligible account holders of BankFinancial (depositors as of March 31, 2003)
subscribed for more shares than are being sold by the Company. Accordingly,
eligible account holders will receive either a full or partial allocation of
their valid orders in accordance with the allocation procedures set forth in
the plan of conversion and the Company's prospectus. Other depositors and
borrowers of BankFinancial will not have their orders filled. Due to the
oversubscription, processing and final resolution of allocations has not been
completed.
Shares of the Company's common stock are expected to begin trading between June
21, 2005 and June 30, 2005. The shares have been approved for trading on the
NASDAQ National Market under the symbol "BFIN."
