engelo - No detail other than that which I have already posted. Looking at their positions and career info I would guess that GS would be the man that finds the funding and perhaps decided when to cash in. JM/Consmin may well be the ones supplying the candidates for investment. It may be cheaper for Consmin to have WSAG front investments, but there has to be some connections between Consmin and the directors of WSAG for them to have bought 20% of the company. I wonder if the current directors brought Consmin in.

GS didn't sound like the type of person who would go into detail with a punter calling out of the blue so all chat was general. He did phone me back even though I hadn't said how many shares I owned so for all he knew I could have owned 20 shares or even none at all, so I give him brownie points for that.

Marab: thanks for taking the initiative with GS and for the feedback. Have always been puzzled by his lack of Nat Resources background; did you get into this territory at all in your conversation? Find it difficult to see any other source for investment decisions other than JM/Consmin.

engelo - the posters on this board must have a reasonable part of the company now. GS did seem a nice bloke and time will tell whether he is or not. An updated website will be encouraging. I think the heavy hitters here have wielded their bats to the point of sitting out the rest of the game. We have had the graphite which was a surprise, and I look forward to hearing about the next investment. At the current share price we must be trading at a good 30% discount which seems pretty reasonable to me.

Just been microbuying with loose change (50k in total) (on the basis that marab thinks our MD is a nice bloke :-) and fwiw the offer was gently increasing with each small trade (and notice it's now ticked up).

Needs a bit of help from one or two of you heavy hitters to get this moving! Only 3 minutes left of the trading day, tho.

Re reading the recent circular I don't feel it is likely that Consolidated Minerals will be reversing anything into WSAG, but I do wonder what the relationship is. Could it be that CM is a potential customer for whatever WSAG turns up, or perhaps a funding partner? Either would be fine for me and might explain the size of their share holding, enough to influence decisions but not enough to take control.

alaneanthony - I'd like to know who is selling, how many and why.


Gobind Sahney (here after to be referred to as GS), owns over 14% of 'Alpha Universal Management Plc ("AUM") that it holds 3,076,923 ordinary shares in Woodburne, representing 4.8% of its issued share capital.'

From the circular :- 'Directors intend to do in respect of their own interests which represent 10.3 per cent. of the issued share capital of the Company.'

So that would appear to mean that our other 2 directors own just under 3% each.

So all 190k volume yesterday were buys.
I suppose volumes are so low on this stock, the MMs widen the spread to shake out a few cheap stop losses. They then, at least, get a decent (20%+) margin to compensate for the low turnover.
I agree Ro5, all our research (and reasonable speculation) on this thread indicates we have a major resource/mining company in the making here. Indications are the GlobalGold/Consmin JV company will be finalised in March.

JoJo_Jo - if memory serves, the price looked like it ticked down because they dropped the bid price to 1.75p from 2p, the MMs didn't drop the offer. My first buy yesterday looked like the second sell of the day so maybe the first one was a buy as well, so maybe someone is selling a chunk of shares ?

Ro5enberg - the graphite investment looked good so I am hoping that WSAG will finally become a proper investment company and we can just sit back and enjoy.

I also topped up today, the 50k trade was mine, and now hold over 1% of the company..
So no sells that I can see and yet we are down.

No need for concern, I am told this will be a serious company.

At this market cap, its a steal.

So, marab buys 139,000 shares (out of a total of around 190k for the day) and the share price promptly ticks down 6%!
What's that all about?

I'll definitely take a few more tomorrow if it stays where it is.

Have we all voted yet?

'To be valid, the Form of Proxy should be completed, signed and returned in accordance with the instructions printed thereon as soon as possible and, in any event, so as to reach the Company's Registrars, Capita Registrars, by no later than 10.00 a.m. on 28 February 2012.'

I phoned Mr Sahney again but he was on the telephone so I couldn't speak to him but the nice lady who answered said she would get him to call me back when he was free. We've all heard that one before. Less than 5 minutes later he did phone back and we had a chat for quarter of an hour during which time I received no sensitive information at all. I did get some general information which he said I was free to pass on.

He does not see the wisdom of investing in shares in other companies in the manner TW did, but rather the intention was to look to directly investing in companies that were in areas capable of producing good profit margins.

Soon after the EGM we should be getting news of investment(s). I do not know the time period of 'soon', so don't know if it will be hours, days, weeks etc. I would guess that if any of TW's investments are still held it probably won't be for long, but that is purely imo.

He did say that they had been spending time working out who actually owned what shares in the company, and that it was the intention to set up a new website and keep it up to date. He gave the impression that the company planned to update shareholders electronically through the website, as he felt that share holders with nominee accounts tended to get less than 100% of the news issued through that medium.

My general impression was that Mr Sahney and TW are chalk and cheese, and while one should not form an opinion merely on the strength of a phone call, I got the impression that share holders would actually be kept informed and were actually felt to be worthy of a bit of attention. As I said earlier, there were no sneaky hints as to the nature of future investments, and no information passed on other than that outlined above, which in itself I took as a good sign. Mr Sahney also said to feel free to contact him if I had any other queries and actually sounded like he meant it, which is a bit of a rarity for an AIM company.

So no real information to pass on but I came away with a favourable impression and bought another 140,000 shares (93,671 and 45,339) on the simple basis that Mr Sahney seems like a decent bloke.

I did want to go to the meeting on the 1st March, however, the cost of the air fare and hotels made it just too expensive.

I have cast my vote by proxy. For items 1, 4 & 5 and Against 2 & 3.

Can I urge every holder to vote as they feel fit. If us small holders do not vote we will continue to be steam rolled out of the way!!

engelo - did I buy more? yes I did, enough to get me to just under the 1% mark.

Haven't tried Mr Sahney again due to busy week and bad memory, but I take it no-one else tried either. Will definitely have a another go on Monday though as voting day is almost upon us. It was about 4.40pm when I phoned so perhaps not the best time to try to catch anyone.

Tried reading Catch 22 but couldn't make it through the first few pages, but that's what films are for :)

Marab but did you :-) I think you rang the co recently and talked to a secretary: did you get any closer to 'cucumber' Sahney??

Have a feeling that he's a bit like Major Major in Catch 22 (who was only in if nobody called, and out whenever they did), if you're the right age to remember it that is. A bit racy in my time, but since has been an 'O' level set book, so if you're in your 20s or your 60s you will know it :-)

Not sure how they'll do it. Although there would be more shares in issue, implying dilution, the RTO'd company's value would more than compensate. If, for example WSAG became the JV company for the GlobalGold/ConsMin enterprise, each would get shares equivalent to the value of their proportion of the deal. This is not going to be excessively high initially (so less dilution) based on the investment by ConsMin in the JV, but once the mining (and cashflow) starts the value will rocket. The share price will be ahead of the game, and jump at the first news of any such RTO as the herd belatedly try to get on board.
Clearly Sahney's initial concerns were addressed by Mr Marvin and he was subsequently happy enough to proceed, a while later, with his company's share purchase at the original, premium price. He was obviously satisfied that his investment was going to reap big rewards. I am happy to hold/build on that basis. Unquestionably our (PIs) stake will soon be worth many times its current value.

Jojo PS: prior to an RTO Consmin would need some more shares: how do you think they would go about this?

Atm imo they could count on their own 21.3% (after recent dilution) plus the directors' 10.3% plus potentially any 'new investors' not already included in the 10.3% figure.

JoJo: we'll probably never know but I'm not enthused by the first 2 purchases and most enthused by the third.... of the ones we know about!

We only know the exact amount of the BRDY purchase but imo the graphite deal is a major investment (with plans for more) whereas the others are minor and might just be swapping items of the TW silver p/f.

Of course there may well be 20 other such transactions (either buying or selling) that we are not privy to. What I'm hoping is that Jeff Martin arrived in time to make the best decisions about TW's holdings, some of which I'm sure have done well since the NAV in October.

We should know more in a month's time: at least lets bl-dy well hope so, and I agree an RTO would be nice...and no more than we deserve :-)

Timing seems to coincide with Marvin/ConsMin involvement, so it's hard to tell. I think it more likely that this was part of the investing strategy of the interim guard, ie. Sahney, prior to ConsMin's arrival on the scene. CosMin have their own agenda. I can even envisage a scenario whereby ConsMin do their rto, then spin/sell off anything that doesn't fit. The name change implies they will certainly keep the graphite/graphene business, which is a very good thing.
If they subsequently spun off any parts, existing shareholders would get a piece of that too, so that would'nt be an issue.

Mick: how on earth did you find that info on E African Oil and Energy? Well done.

Seems similar to the purchase of Brady: both completely obscure, both secondary 'percentage' purchases (ie not the lead investor), both seem to have Rivington involvement. Altogether tentative in style.

So were both these planned by the old guard before the Consmin/Jeff Martin era began?

In contrast the graphite investment (which is certainly new era) is much more dynamic, shows knowledge/insight of global resource markets, and is an investment position exclusive to WSAG/Stratmin.

And as noted before, the investment strategy of Stratmin rules out Brady type investments.

This is by some way the most covert/secretive company I've ever encountered.
Not complaining though, as long as the revelations continue to be positive, like this.
Do we have yet another RTO contender here, or is there some connection between Consmin/Marvin and Empire/EAOEE/GSLM?
