Posted at 01/7/2019 09:24 by 1bluehorseshoe The Company understands that substantially all of the remaining bonds have been converted as a result of the notice referred to in the relevant release this morning. The Company has requested that the Investor convert any remaining bonds, and the Investor has agreed to do so. The Company therefore expects to be able to confirm within days that any and all further conversion has occurred.The Company is also pleased that following any final conversions, the Investor has agreed to a lock-in in respect of shares representing no less than 5% of the issued share capital of the Company post this conversion. The documentation has been provided to the Investor and it is proposed that the lock-in will be for a period of the no less than four months. |

This engagement is on a long-term retainer basis, with initial revenues over the first year expected to exceed GBP1 million, with the potential for material increases. That's why all their share prices collapse from the initial public listing price into the -90% club. For these micro-cap companies the most efficient way to run the business is to have no business at all. But to have the documents and trappings of a business that meet all the regulatory requirements. And some go to enormous lengths to convince retail investors there is a business in hand.Retail investors would look at projected revenues and profits whether they be £500k, £700k or £1m and say 'wow that should boost the share price' whilst ignoring the fact that the company is raising £2m a year of free money by diluting them out of existence. Placings are the most efficient way to fund these listed micro-caps not the trading of goods or services. As far as I'm concerned the jury is still out on this new outfit. But they are about to be called back in and very soon for a decision - Guilty or Not Guilty. |

I know some people like to scream 'but its not AIM' it really makes no difference. Shares are forward sold, retail investors are lied to, the MM manipulate the prices and so forth. However the worst is over now and I can only see sunny skies from here. Keep the faith. |

The House are the directors, brokers, nomads, MM and creditors. The punters are retail investors. The House always wins or it goes out of business. Punters can only make money off one another for the odds are heavily rigged in favour of the House. |
