Let me see if my understanding is correct:
I buy 100000 WTH at a cost of say £2300. For that I get:
a) 12500 shares in PEG which at today's price is 11.45P x 12500 = £ 1431
b) £2000 worth of loan notes. That's £3431!!!
Not only that I will get £140 for 5 years after which I can get my £2000 back.
If I convert I will get 25000 shares (at 8p) so more profit if the share price is still 11p after 5 years.
Have I misunderstood???

Given the incestuous links between the two companies, and the reliance on WTH funds for the survival of PEG, I see little alternative.

Basic and diluted EPS of 2.9p (2011: 4.9p)

Remember that 30% of the stock is held by WTH so some will either get cancelled or held in treasury (as not a straight share offer). So with PEG at around 13 pence and finance costs lower because of this deal ...

I am not that keen on Peg myself...but with this deal it may suprise me.

I'm afraid you are wrong, the terms are already set:

"Under the terms of the Offer, Water Hall Shareholders will be entitled to receive 12.5 New Petards Shares and GBP2 nominal convertible loan notes per 100 Water Hall Shares."

A fall in the PEG price means the value of the bid is worth less.

You are referring to the entire issued capital and obviously the headline figure fluctuates with share price movements, but as PEG is acquiring WTH a dip in PEG share price simply means that WTH holders will get more of the whole pro rata.In value terms WTH shares are 4p.

I read it as worth 4p to existing WTH holders plus the loan notes, so certainly better than where we currently sit and with the potential to develop.Whether you have faith in PEG is obviously key going forward, in terms of whether their shares (ie our new ones) hold their price.You might say that the risk is PEG not holding its sp, but the bid price as things stand is 4p.Your version?

Tilton, I found the IC piece and wasn't sure why you felt it was sloppy? It simply reflects the offer and I can't see why you don't view this as a positive for WTH shareholders. Particularly as you are one!Are you simply battle-scarred or am I missing something obvious?

Apart from their investment in Premier Asset Management, the rest of their investments have been an absolute shambles. The directors have overseen a fall in assets from in excess of 10p per share to the current level. What makes you think an aggregates and tip operator can run a surveillance company.

Take a look at where they made their first investment into PEG and see where the price is now!

If you believe the WTH directors are capable of turning it around, then surely the WTH share price is an absolute bargain. It will get you into PEG below the bid.

I see! I guess you must have lost a lot of value over time. Let's hope whatever is afoot can give us all a lift and the Wth cash is put to work to help petards become a real winner. They seem to have good technology and a strong client list albeit the mod and emergency services divisions must have been suffering in the economic turbulence, ie government not committing to projects. I noted yesterday that Siemens only signed off yesterday on the thameslink project after 3 years of negotiations! I think this is one petards are also involved with.Anyway, best of luck to all.
