Appointment of Finance Director

VSA Capital Group (AIM: VSA), the AIM listed natural resources focused investment banking and institutional broking firm, announces the appointment of Jonathan Stuart Berger as Finance Director with effect from 2 July 2012.

Jonathan, 53, has a proven entrepreneurial, financial and commercial background, having established his own exhibition company in the early 1990s and subsequently developed it into one of the largest media businesses in the Middle East, following its acquisition by the Daily Mail Group.

More recently, he played a significant role in the turnaround of Chesterton Humberts, two separate brands that had been in administration and were subsequently merged in 2009, which is now a leading agency in the real estate sector.

A chartered accountant, having trained with Price Waterhouse in London, Jonathan has had considerable experience as both a Finance Director and a Chief Operating Officer in the UK, Europe and the Gulf region, and in establishing and running businesses, the formulation and implementation of strategy and the development of numerous market leading brands.

Peter Joy, as previously announced, will be stepping down as Finance Director on 2 July 2012 but will work with Jonathan to ensure a smooth transition for a period of time.

Pursuant to AIM Rule 17, Schedule Two paragraph (g), the following information is disclosed in respect of Jonathan Berger's appointment:

Jonathan Berger currently holds no ordinary shares in the capital of VSA Capital Group. Pursuant to Mr Berger's contract of employment, he will be entitled to options over 1 million ordinary shares in the capital of the Company, subject to meeting certain conditions. If the conditions are met, a further announcement will be made in the third quarter of this year with respect to the formal grant of these options and the exercise price, which will be set by reference to the market price of the Company's shares at the time.

He is currently a director of:

Humberts Limited (now dormant)

Bernard Walsh Communications Limited

Within the last five years he has been a director of Dubai Exhibitions Limited.

There is nothing further which is required to be announced pursuant to the AIM Rules.
