A company with a share capital must not return funds which have been subscribed for shares except in ways prescribed by the Companies Act 1985/the Companies Act 2006 (the "2006 Act"). A company can, however, reduce its share capital provided creditors will not be adversely affected and it complies with the procedural requirements. In the past, it was only possible to carry out a reduction in capital by going to court. Whilst this remains the case for public companies, from 1 October 2008, private companies may take advantage of a new "solvency statement procedure" set out in the 2006 Act. This is being introduced to simplify the procedure and make it less costly for private companies to reduce their share capital. Why would we consider a reduction in share capital? The reasons for reducing share capital are as follows: Returning surplus capital; releasing a liability to pay up capital, thus reducing the nominal value of the shares; eliminating losses, which may be preventing the payment of dividends; redemption of shares where there are insufficient distributable reserves; as part of a scheme of arrangement where there is a merger of two large companies of similar size; and distribution of assets to shareholders. | goggin | |
