Vocalis Group plc (the "Company")

The Company was informed on 26 March 1999 that on 25 March 1999 Mr Roy
Cotterill, the Chairman of the Company, gifted 90,000 ordinary shares of 5p
each in the Company to his wife.   Subsequently his wife sold 90,000 ordinary
shares of 5p each on the Company at a price of 84p per share.  On the same day
Mr Cotterill purchased 90,000 ordinary shares of 5p each in the Company at a
price of 84.0625p per share.

As a consequence of the above transactions Mr Cotterill's beneficial interest
in the Company remains unchanged at 161,322 ordinary shares of 5p each, being
0.5 per cent. of the Company's issued share capital.
