LEVEL OF ACCEPTANCES FOR THE RECOMMENDED CASH OFFER ("OFFER")
FOR VIRTUAL INTERNET PLC ("VIRTUAL INTERNET")
OFFER DECLARED UNCONDITIONAL IN ALL RESPECTS

NOT FOR RELEASE, PUBLICATION OR DISTRIBUTION IN OR INTO THE UNITED STATES, 
CANADA, AUSTRALIA OR JAPAN

By 3.00 p.m. London time on 22 February 2002, Register.com (UK) had received
valid acceptances of the Offer from the holders of 20,769,030 Virtual Internet
Shares (representing approximately 82.70 per cent. of the existing issued share
capital of Virtual Internet). Register.com (UK) has also acquired 2,762,500
Virtual Internet Shares (representing approximately 11.00 per cent. of the
existing issued share capital of Virtual Internet to which the Offer relates)
since the offer document was posted on 1 February 2002. In aggregate therefore,
Register.com (UK) has received valid acceptances or has acquired or contracted
to acquire or received irrevocable undertakings in respect of a total of
23,531,530 Virtual Internet Shares (representing approximately 93.70 per cent.
of the existing issued share capital of Virtual Internet).

The Board of Register.com (UK) hereby declares the Offer wholly unconditional. 
The Offer will remain open for acceptance until further notice. The Warrant
Offer will also remain open for acceptance in accordance with its terms.  It is
the intention of Register.com (UK) to apply for cancellation of the Virtual
Internet listing on the London Stock Exchange on or around 25 March 2002.

The total number of acceptances received includes acceptances in respect of
12,799,428 Virtual Internet Shares (representing approximately 50.9 per cent. of
the existing issued share capital of Virtual Internet), which were the subject
of irrevocable undertakings to accept the Offer. In addition, as set out in the
offer document, two directors of Virtual Internet, Tom Turcan and Jonathan Wales
hold options over, in aggregate, 560,000 Virtual Internet Shares (representing
approximately 2.2 per cent. of the existing issued share capital of Virtual
Internet). Tom Turcan and Jonathan Wales have each irrevocably undertaken that,
upon the Offer becoming unconditional in all respects, they will exercise their
respective options and accept the Offer in respect of these Virtual Internet
Shares.

Prior to the commencement of the Offer Period on 6 December 2001, save as
disclosed in the offer document, neither Register.com (UK) nor any person acting
or deemed to be acting in concert with it owned any Virtual Internet Shares (or
rights over such shares) nor since that date (other than as disclosed above) has
Register.com (UK) or any person acting in concert with it acquired or agreed to
acquire any Virtual Internet Shares (or rights over such shares).
