                                    Placing

    Placing of 825,500 new ordinary shares to raise #701,675 (the "Placing")


The Board is pleased to announce that Charles Stanley has placed 825,500 new
ordinary shares of 10 pence each with certain institutional investors to raise
#701,675 before fees and expenses. The shares were placed at a price of 85 pence
per share and represents 2.5 per cent. of the enlarged issued share capital of
the Company.

The proceeds of the placing will be used to augment the Company's existing
working capital facilities and for the development of the Group's business.

The new ordinary shares will rank pari passu with the existing ordinary shares
of the Company save that they will not rank for any dividend to be paid in
respect of the year to 30 April 2003.  Application will be made for the new
ordinary shares to be admitted to trading on the Alternative Investment Market
and dealings are expected to commence on 2 June 2003.
