Issue of Equity & Notice of AGM

Utilitywise (AIM:UTW), a leading independent utility cost management consultancy, announces that it has made application for the admission to trading on AIM ("Admission") of 253,290 new ordinary shares of 0.1 pence each in the capital of the Company ("Ordinary Shares"), issued today in part settlement of deferred consideration due on the acquisition of Clouds Environmental Consultancy Limited, as announced on 1 October 2013, and after the achievement of certain EBITDA targets.

The new Ordinary Shares will rank pari passu with the existing Ordinary Shares currently in issue. It is expected that Admission will occur and dealings in the new Ordinary Shares will commence on 21 November 2013.

Following Admission, Utilitywise will have 72,278,034 Ordinary Shares in issue. There are no Ordinary Shares held in treasury and so the total number of voting rights in the Company will be 72,278,034. The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Financial Conduct Authority's Disclosure and Transparency Rules.

Separately, the Company announces that it has posted to shareholders a Notice of Annual General Meeting ("Notice"), which will take place at 10.00 a.m. on Tuesday 10 December 2013 at the offices of finnCap Limited, 60 New Broad Street, London, EC2M 1JJ.
