Employee Benefit Trust
The Company was notified on 13 July 2018 that Estera Trust (Jersey) Limited as trustee of the Urban&Civic Employee Benefit Trust (the "EBT") had purchased 327,868 Ordinary shares of 20p each in the capital of the Company ("Shares") at a price of 305p per share on 12 July 2018. The transaction took place in London.
Immediately following the above transaction, the EBT held 1,897,305 shares, representing approximately 1.3% of the Company's issued share capital. The executive directors, together with other employees, are potential beneficiaries under the EBT and are therefore treated as having an interest in such Shares.
