Letter to Shareholders re Capital Reorganisation

TXO, the energy resource and clean technology investment company, announces that it has today sent the following letter to shareholders:

Dear Shareholder,

You will have recently received notification of a General Meeting for TXO plc.

We are conscious that, subject to the resolutions regarding the share capital reorganisation being passed, your current shareholding may become a fractional entitlement. This will arise from the consolidation of shares being proposed.

In order for you not to have a fractional entitlement, the Board is proposing to make available to you new shares through a subscription at 0.1p to enable you to round your shareholding to the nearest 500,000 shares.
