Suspension & Resignation of Directors
Tricor announces that Tan Bien Kiat and Loo Lai Fatt, Non-Executive Directors of the Company, have today informed the Company that they have both resigned from the Board of Tricor with immediate effect.
The Company's sole remaining director is the Company's Chief Executive Officer, Chan Fook Meng.
As per the Company's articles of association ("Articles"), Chan Fook Meng, as the sole continuing Director may act only for the purpose of finding suitable additions to fill the vacancies or for summoning general meetings, but not for any other purpose. As a result of the resignation of Tan Bien Kiat and Loo Lai Fatt, the number of Directors is reduced below the number fixed by or pursuant to the Company's Articles as the quorum of Directors and as a result the Company's shares have been suspended.
The Company is actively seeking replacement directors and will update shareholders in due course.
