I'm still holding here, cannot say I'm very happy with the price being offered, I feel double would have been a fair but not high price. After the change from PLC to LTD then the over 20% rise in pay for the highest paid Director I expect what is coming is the cancelling of future dividends and further wage hikes for the directors. With no need to enter into any dialog at all with any pesky shareholders they can basically do whatever they like.

A shareholder letter has just gone out.

The company seem to want to buyback our shares effectively but at £1.30

This is a well run company and paying dividends of 14p per share in the last financial year so I do not want to give up a near 11% yield but some may want the liquidity provided by the company. There is healthy balance sheet so surely after all these years they could give the longstanding remaining shareholders a bit more?

The Group’s liquidity position remains strong with a strengthening in cash balances to £16.3m (2019: £5.2m). This increase is after a
substantial capital repayment (£1.6m) to settle the Bank mortgage on its London offices.

I am still here too. Let me see if I can arrange a zoom with the directors as clearly no Agms are possible this year and the change of status probably needs an explanation but overall I feel happy with what has been delivered for shareholders here.

Fortunately, the divis have accumulated to 50% of original purchase cost.

I did get notification of the PLC status drop, and contacted AJ Bell to ask if possible/how to sell, but they couldn't advise at the time. May re-contact them now this procedure has completed, or TSE to see what they can suggest.

like you say it's now a done deal, I was looking in the reports and accounts where I did find this on page 21

4 Directors’ remuneration
Aggregate emoluments in respect of qualifying services amounted to £632,354(2019: £542,173).Social security contributions were £84,400(2019: £68,591).Emoluments of the highest paid Director (excluding pension contributions) were £257,638(2019: £207,846).Amounts paid by the Group in respect of his pension contributions were £20,804(2019: £21,987). He currently holds no share options or entitlement to share options. Total pensioncontributions of £51,127(2019: £49,932) were made to the Executive Directors’ personal pension plans. There are three executive Directors who all are accruing pension benefits (2019: three). The Directors are also considered to be key management. There are no employees of the company, other than director’s who are remunerated through other group entitie.

That is an increase of £49,729 for the highest paid Director that's up 23.95%
hope thats not a sign of things to come. We are in a vunerable position for getting shafted

Hello simso - currently i would be wanting over a quid for my shares at present factoring in the cash on the balance sheet. Kinda guessing no one would want to be paying that sum other than the company due to the lack of certainty aboyt anything.

This share is somewhat mirroring Just car clincs after de-listing but taking longer - was a bit gutted with Just Car Clinics as i sold a decent wad on a semi tempting tender only for one of Quindells ex offshoots to come in with cash bid at 118p a share - thankfully i hadn't sold them all. So perhaps our 118p per share offer is in the process of being finalised.

Not sure if i may be the last man standing here , another final dividend of 10p per share recently delivered - like 2017 all over again shame its not 2017 sahre prices for some of my other holdings :(

Couple of extra snipets this year
Company is now or very soon about to drop the PLC status - not sure what the implications of that are - presumably more streamlined perhaps less obligations on directors ref formal items? do us minor shareholders have the same rights?

They have banked £10 mill cash ish from sale of one of their subsidiaries - so they probably have £10 mill + more than they need really being (they already had over £5 mil cash) - not sure what plans they have for this cash - certainly they could if they so choose have the option to buy out the minority shareholders for a much fairer price than was previously offered.
I guess the downside of this chunky sale is that future expected earnings should be expected to be materially lower as they have obviously sold a decent chunk of their profit making machine and the remaining fixed overheads are presumably less spread out.

With £6.7m of cash and building, the company should consider buying in some shares as they did in 2013. failing that, please message me in private if you are interested in selling, and perhaps we can agree a private deal.

Resolution #4 at the general meeting to be held on 29th August says:

"It is proposed that a final dividend of £0.075 per ordinary share, with a special dividend of £0.025, making a total dividend of £0.10 per ordinary share, in respect of the period ending 31 March 2017 be declared."

I reckon you are correct!

Looks like 10p per share dividend is in the pipeline (unless i am officially a numpty which is always possible) - keep your eyes open for your dosh. I have taken this info from the latest accounts on the company website

I am not aware of an easy way to trade these shares, simso, but David Stredder did suggest a possible way to sell back in post 415...6 years ago. There may be a few other souls out there who still monitor this board and might want to sell, possibly via a friendly broker.

THanks sandlab. I must admit I had almost forgotten about my Touchstone Holding, but it has done well in the last two years, and the Divi suddenly registered! I know they did a Tender offer in 2013...but imagine there must be some private holders who would like to sell by now, and I might be interested in buying some if the price is right. Do you know if there is a mechanism where Buyers and Sellers can be "matched up". I know another of my private holdings...Ensor...are setting up such a facility.

Back in 2013 I intended selling but have held on for the excellent divi.

Last time I checked from the Companies House listing there were 352 registered holders of shares. I worked out at the time that ignoring large holding (>50k) the average PI holding was just over 5200 shares for ~320 holders.

It's an interesting balance, staying in will still get the special divi of 10p and a higher percentage shareholding in the company so future potential divis could be increased. It will become very much a family owned business and divis are the way they will want to pay themselves I imagine over time so there is an argument to stick it out. However the lack of ability to trade is a pain especially if you need to release funds at a specific date. I have quite a few in a SIPP so will take the offer on those but I also have some in a normal trading account so might keep those just to see what happens as I still rate the company.

latest 6 monthly figures are released. eps down to 3.3p due to business unit sales, but net cash near £6m, and big interim divi increase from 1.5p to 2p. Ongoing business has seen useful growth, and forward trading is reported to be healthy. Hope to see annual divi growth as well.
