PDMR and Major Shareholdings
TMT Investments Plc (AIM: TMT.L), the venture capital company investing in high-growth technology companies, announces that it was notified that on 7 April 2022 Macmillan Trading Company Limited ("Macmillan"), owned by German Kaplun, Artemii Iniutin and Alexander Morgulchik, agreed to acquire 43,479 ordinary shares of no par value each in the Company ("Ordinary Shares") at a price of US$6.90 per Ordinary Share (" Share Acquisition") . The Ordinary Shares are to be acquired from Eclectic Capital Limited .
Following the settlement of the Share Acquisition:
-- Artemii Iniutin will be interested in, in aggregate, 3,683,930 Ordinary Shares, representing 11.71% of the Company's issued ordinary share capital;
-- German Kaplun will be interested in, in aggregate, 7,476,220 Ordinary Shares, representing 23.77% of the Company's issued ordinary share capital; and
-- Alexander Morgulchik will be interested in, in aggregate, 3,300,959 Ordinary Shares, representing 10.50% of the Company's issued ordinary share capital.
Upon settlement of the Share Acquisition, which is expected to occur no later than 17 May 2022, TMT shareholdings of the members of the concert party, as defined in the City Code on Takeovers and Mergers (the "Code"), which currently exists in the Company, will change as follows (based on the latest information available to the Company and assuming no other changes in the shareholdings of the members of the concert party before the settlement ):
